TERMS & CONDITIONS

This Agreement is made in accordance with:
• The Direct Selling Guidelines issued by the Government of India, Ministry of Consumer Affairs, Department of Consumer Affairs vide F.No. 21/18/2014-IT (Vol-II) dated 9th September 2016,
• The Consumer Protection (Direct Selling) Rules, 2021, and
• The Indian Contract Act, 1872.
This Agreement supersedes all prior discussions, contracts, or understandings between the Company and the Independent Distributor.


PARTIES

First Party:
IKIGAI KART PRIVATE LIMITED
Registered Office: Gali No. 3, Baktawar Chal, Tulsipur, Rajnandgaon, Chhattisgarh – 491441.
(Hereinafter referred to as “IKIGAI KART” or “the Company”, which includes its successors and permitted assigns).

Second Party:
The individual/entity who has applied online/offline to become an Independent Distributor.
(Hereinafter referred to as “Independent Distributor”, which includes their legal heirs, executors, administrators, and permitted assigns).


PREAMBLE

  • IKIGAI KART is a registered company under the Companies Act, 2013.
  • The Independent Distributor agrees to operate with IKIGAI KART in full compliance with applicable laws, including the Direct Selling Guidelines 2016 and Consumer Protection (Direct Selling) Rules 2021.

DEFINITIONS

  1. Act – The Consumer Protection Act, 1986 (and subsequent amendments).
  2. Consumer – A person who purchases goods/services for personal use and not for resale.
  3. Prospect – A person offered an opportunity to join IKIGAI KART’s direct selling business.
  4. Direct Seller – A person authorized under a valid contract to carry out direct selling activities on a principal-to-principal basis.
  5. Independent Distributor – A person/entity who has accepted this Agreement and is authorized to promote and sell IKIGAI KART’s products.
  6. Sponsor – An existing Independent Distributor who introduces a new Independent Distributor.
  7. Point Volume (PV) / Repurchase Point Volume (RPV) – The values assigned to products for incentive calculation under IKIGAI KART’s Compensation Plan.
  8. Network of Direct Selling – A structured distribution system of Independent Distributors supporting and sponsoring new participants.
  9. Downline – The network of Independent Distributors/customers introduced under a specific Independent Distributor.
  10. Direct Selling – Marketing, distribution, and sale of goods/services other than through permanent retail outlets, usually by personal interaction, demonstration, or explanation.
  11. Direct Selling Entity – IKIGAI KART, which is engaged in lawful direct selling (not a pyramid or money circulation scheme).
  12. Goods – Products as defined under the Sale of Goods Act, 1930.
  13. Saleable – Goods that are unused, unopened, in marketable condition, not expired, and not discontinued.
  14. Cooling-off Period – 30 days from contract signing/purchase, during which the Independent Distributor may cancel without penalty.
  15. Pyramid Scheme – A prohibited scheme based on recruitment incentives rather than product sales (not applicable to IKIGAI KART).
  16. Money Circulation Scheme – Prohibited as per the Prize Chits and Money Circulation Schemes (Banning) Act, 1978.
  17. Remuneration System – The method of calculating incentives/commissions based on product sales (not recruitment).
  18. Sales Incentive – Any bonus, commission, gift, or benefit earned from product sales (excluding recruitment).
  19. Unique ID & Password – Credentials issued by IKIGAI KART for accessing the distributor portal.
  20. Website – IKIGAI KART’s official website (www.ikigaikart.com).

TERMS OF AGREEMENT

  1. Appointment: IKIGAI KART appoints the Independent Distributor on a non-exclusive, principal-to-principal basis.
  2. Contract Validity: This Agreement is effective once IKIGAI KART approves the application and enters details into its system.
  3. Single Account: Only one Distributor ID is permitted. Multiple accounts will lead to termination.
  4. KYC Requirement: The Independent Distributor must submit PAN, Aadhaar, photo, bank details, and address proof within 15 days. Failure to do so terminates the contract.
  5. No Joining Fee: IKIGAI KART does not charge any registration fee.
  6. Cooling-Off Policy: 30-day cancellation with a full refund of goods/services.
  7. Buy-Back Policy: Goods can be returned within 30 days if unused, unopened, and saleable.
  8. Termination: IKIGAI KART may terminate this Agreement for breach, misrepresentation, or inactivity for 12 consecutive months.
  9. Conduct: Independent Distributors must act ethically, sell at MRP, and not engage in misrepresentation.
  10. No Employment Relationship: Distributors are independent contractors, not employees or agents of IKIGAI KART.
  11. Taxes: Independent Distributors are responsible for their own tax liabilities.
  12. E-Commerce Restriction: Products may not be sold on online marketplaces or retail outlets.
  13. Amendments: IKIGAI KART may revise policies; continued business implies acceptance.
  14. Dispute Resolution: Disputes will be settled under the Arbitration and Conciliation Act, 1996. Arbitration venue: Rajnandgaon, Chhattisgarh.
  15. Jurisdiction: Courts in Rajnandgaon, Chhattisgarh shall have exclusive jurisdiction.
  16. Payments: Incentives will be paid as per the Compensation Plan after deducting applicable taxes (TDS, GST, etc.).
  17. Company Rights: IKIGAI KART reserves the right to withhold, suspend, or recover incentives in cases of policy violation, product returns, or fraud.

DISTRIBUTOR’S RESPONSIBILITIES

  • Must be at least 18 years of age, of sound mind, and legally capable of entering contracts.
  • Must not misrepresent products or business opportunity.
  • Must train and support their downline ethically.
  • Must not encourage bulk purchases or force sales.
  • Must not participate in pyramid schemes, money circulation, or any unlawful practices.
  • Must not transfer this Agreement without written consent.
  • Must indemnify IKIGAI KART against claims arising from their misrepresentation or misconduct.

COMPANY’S RESPONSIBILITIES

  • To provide products and timely delivery.
  • To pay incentives/commissions as per the Compensation Plan.
  • To deduct and deposit applicable taxes (TDS).
  • To provide buy-back, cooling-off, and grievance redressal mechanisms.
  • To terminate contracts in case of non-compliance with policies.

DISCLAIMER

IKIGAI KART reserves the right to update, amend, or revise this Agreement, the Compensation Plan, and Policies at any time. Updates posted on the official website or company office notice boards shall be deemed binding.
