(IKIGAI KART PRIVATE LIMITED)
- Eligibility: The applicant must be at least 18 years of age and legally competent to enter into a contract under the Indian Contract Act, 1872.
- Company’s Right of Acceptance: IKIGAI KART PRIVATE LIMITED (hereinafter referred to as “the Company”) reserves the sole right to accept or reject any application for Independent Distributor (“Distributor”). Upon approval, a unique Distributor Identification Number (ID) will be issued. Distributors shall thereafter be eligible for incentives, commissions, and rewards in accordance with the Company’s Business Plan.
- Single ID Policy: An individual may hold only one Distributor ID with the Company.
- Independent Contractor Status: Distributors are independent contractors and not employees, agents, partners, or legal representatives of the Company. They are fully responsible for their own business operations and compliance with all applicable laws.
- Compliance: Distributors must strictly follow the Company’s Sales Policies, Rules, Procedures, Terms & Conditions, and Code of Ethics as may be amended from time to time.
- Income Disclaimer:
- The Company does not guarantee any fixed income.
- Commissions, incentives, royalties, and rewards are solely based on sales volume generated by the Distributor and their team, as per the Company’s Pay Plan.
- The Company reserves the right to modify Business Volume Points, Point Value Ratios, or any component of the Pay Plan without prior notice.
- Prohibited activities:
- Promoting Company products/activities through unauthorized advertisements.
- Recruiting new Distributors via unauthorized media channels.
- Liability: The Company shall not be responsible for any liabilities incurred by the Distributor in the course of conducting their business.
- Product Pricing: Distributors must purchase products at Distributor Price and sell them only at the Maximum Retail Price (MRP) printed on the product packaging.
- Tax Obligations: All applicable taxes, duties, and government levies on sales shall be payable by the customer as per law.
- GST Compliance: Goods & Services Tax (GST), if applicable, on Distributor income shall be duly paid by the Distributor as per Government norms.
- Other Taxes: Any additional taxes or levies on income earned from the Company are the Distributor’s responsibility.
- Promotional Conduct: Distributors must only promote Company products using approved documents and support materials. Any alterations are strictly prohibited.
- Retail Restrictions: Sale of Company products through retail outlets/shops is prohibited.
- E-Commerce Sales: Distributors must obtain prior written permission from the Company before selling products via E-commerce platforms or online marketplaces.
- Unauthorized Offers: Distributors cannot offer schemes, discounts, or promises other than those officially provided by the Company. Violation will invite strict disciplinary action.
- TDS & Administrative Charges: Tax Deducted at Source (TDS) and applicable administrative charges will be deducted as per prevailing laws and Company norms.
- Termination Rights: The Company reserves the absolute right to terminate any Distributorship for failure to comply with rules, regulations, or the Code of Ethics, without prior notice.
- Rejoining Policy: A terminated Distributor may reapply only after 6 months from the date of termination.
- Medical Claims Prohibition: Distributors must not claim that products cure diseases or prescribe treatments unless they are qualified medical practitioners.
- Return Policy:
- Damaged products may be exchanged within 10 days of delivery.
- Unsold products in resalable condition may be returned within 30 days of purchase with the original invoice.
- Cooling-off Period: New Distributors may cancel their business and return unsold products within 30 days of sign-up, subject to the Return Policy.
- No False Claims: Distributors must not make exaggerated claims regarding high incentives, income potential, or business opportunities. Only the official Business Plan may be communicated.
- Official Language: The English version of Company documents shall prevail in case of discrepancies.
- Territorial Limitation: Distributors may only resell, distribute, or market Company products within India.
- Company Authority: The Company has the sole authority to interpret rules, regulations, and sales policies.
- Prospect Meetings: Distributors must schedule prior appointments and carry their Distributor ID card when meeting prospects.
- Inactivity Clause: If no business transactions occur for a continuous period of 12 months, the Distributorship shall be terminated without prior notice.
- Exclusive Commitment: Distributors cannot simultaneously associate with or promote other direct selling companies. Violation will result in termination.
- Prohibition on Negative Remarks: Distributors must not make disparaging or negative comments about the Company.
- Amendment Rights: The Company reserves the right to amend its Business Plan, Rules, Regulations, Pricing, Terms & Conditions, and Code of Ethics at any time without prior notice.
- Acknowledgment: Applicants must read, understand, and agree to all Company Rules, Policies, and Code of Ethics before applying.
- Dispute Resolution: Any disputes arising from this agreement shall be resolved through arbitration under the Arbitration Act, with the venue at Rajnandgaon, Chhattisgarh. The award of the Arbitrator shall be final and binding. Courts at Rajnandgaon, Chhattisgarh, shall have exclusive jurisdiction.
